Envoy — Terms of Service
These Terms are a contract between you and Aegis Nova Inc., a Delaware corporation ("Aegis Nova", "we", "us"), governing your use of Envoy, available at envoy.pro and by telephone at 1-833-ENVOYPRO.
Please read Section 6 (Outcomes Are Not Guaranteed), Section 10 (Your Responsibilities), Section 17 (Disclaimers), Section 18 (Limitation of Liability) and Section 21 (Disputes and Arbitration) carefully. They limit our liability and affect how disputes are resolved.
1. What Envoy Is
Envoy is an artificial intelligence service that places telephone calls and sends emails on your behalf.
You describe what you need. Envoy proposes approaches, asks any questions it needs answered, prepares a brief describing what it will do, and — after you approve — contacts the person or company you have identified. It then reports back what happened.
Envoy is an agent, not an adviser. It carries out the task you approve. It does not provide legal, financial, medical, tax or professional advice of any kind, and nothing it says on your behalf should be understood as such advice from us.
Envoy is not a person. It is software. It discloses this when it calls, and it answers honestly if asked.
2. Eligibility
To use Envoy you must:
- be at least 18 years old;
- be located in the United States or Canada. Envoy is not offered elsewhere, and we do not currently support users, recipients or telephone numbers outside these countries;
- have the legal capacity to enter into a binding contract; and
- not be barred from using the service under applicable law.
If you use Envoy on behalf of a company or other organisation, you represent that you are authorised to bind that organisation, and "you" refers to both you and that organisation.
3. Your Account
Signing in. Envoy uses one-time codes sent by email. There is no password. Anyone with access to your email can access your account, so keep your email secure.
Accuracy. You are responsible for the accuracy of the information in your account, including the names Envoy may use when speaking for you, the contact details you provide for recipients, and the facts you give it to state.
One person per account. Accounts are personal. You may not share access or allow another person to compose missions under your account.
Security. Tell us at security@envoy.pro if you believe your account has been accessed without your permission.
4. How a Mission Works
A mission is a single task you ask Envoy to carry out.
Composition. You describe the task. Envoy proposes approaches and may ask for information a recipient is likely to require — an account number, a reference, a date.
Approval. Before anything is sent, Envoy shows you a brief: what it will try to achieve, what it may state and where each fact came from, anything it must not mention, and any limits it will not exceed. Nothing is dispatched until you approve that brief.
Dispatch. Once approved, the brief is fixed. Envoy carries it out as approved and cannot exceed it.
Report. Envoy tells you what happened — what it did, what the other party said, and any reference number or next step it obtained.
Improvisation within limits. On a call, Envoy does not read a script. It pursues the goal you approved, states only facts on the approved list, respects the limits you set, and does not agree to anything you did not authorise. The opening it speaks is shown to you verbatim before dispatch; the rest of the conversation is conducted within the brief.
5. What Envoy Will Always Do
The following apply to every mission and cannot be turned off, overridden or removed by you or by us on your instruction:
It discloses that it is an AI. Every outbound call opens by disclosing that the caller is an automated AI assistant acting on behalf of a sender. If a recipient asks whether they are speaking to a person, Envoy answers honestly.
It honours opt-out requests immediately. If a recipient asks not to be contacted again, Envoy records that request and ends the call. Requests are recorded permanently and do not expire. Depending on what the recipient asks for, the request applies to that mission, to all of your missions, or to Envoy entirely.
It calls only within reasonable hours. Outbound calls are placed only between approximately 8:00 a.m. and 9:00 p.m. in the recipient's local time. Where local time cannot be determined, a narrower window is used. This is enforced in our systems and cannot be overridden. Missions submitted outside these hours are scheduled rather than dialled.
It refuses sensitive data by voice. Envoy will not request, confirm or read aloud passwords, full payment card numbers, full Social Security or Social Insurance numbers, or one-time codes.
It does not impersonate a real person. Envoy states that it is calling on behalf of someone. It does not claim to be that person, and it will not adopt a false identity.
It stays in scope. Envoy will not take on new tasks, make new commitments, or act outside the brief you approved, regardless of what a recipient says or asks.
6. Outcomes Are Not Guaranteed
This is the most important thing to understand about Envoy.
Envoy performs work. It does not deliver outcomes, and it cannot.
When Envoy proposes an approach, it describes what it will do — who it will contact, what it will ask, what it will do if refused, and what it will report back. It does not promise what the other party will decide, because that is not within its control or ours.
A mission in which the other party declines is a completed mission, not a failure. You paid for the call to be made, the request to be put, and the answer to be brought back. You did not pay for the answer to be yes.
We make no representation or warranty that any mission will achieve a particular result, that any bill will be reduced, any refund granted, any appointment obtained, any dispute resolved, or any request agreed to.
7. Pricing
Prices are shown before you pay. By approving a mission or subscribing, you authorise the charge shown.
7.1 Per-mission pricing
Missions are priced individually and the price is shown before dispatch. The price includes an amount of call time, stated at checkout. If a call runs beyond the included time, additional time is drawn from your reserve at the rate shown.
7.2 Reserve
You may add funds to a reserve in advance. The reserve covers call time beyond what a mission includes, and other charges as they arise.
Reserve funds are recorded in lots. Lots are consumed oldest first.
7.3 Private Envoy
Private Envoy is a monthly subscription. It provides a telephone number and email addresses of your own, which answer inbound calls and messages according to settings you control.
Each Private Envoy line is a separate subscription at the price shown. Subscriptions renew monthly until cancelled and may be cancelled at any time.
7.4 Taxes
Prices exclude tax unless stated. You are responsible for any applicable sales, use or similar taxes, which are added at checkout where required.
7.5 Changes to pricing
We may change prices. Changes to subscription pricing take effect at your next renewal and we will tell you before they do. Changes to per-mission pricing apply to missions composed after the change; a price shown at checkout is the price you pay for that mission.
8. Refunds
8.1 When a mission cannot be delivered
If Envoy cannot reach the recipient at all, the mission fee is returned automatically. Ringing, busy signals, failed connections and unanswered calls are not charged.
A mission is considered delivered — and is not refunded on this basis — once Envoy reaches the recipient, including where it leaves a voicemail message. If you instruct Envoy not to leave voicemail, an unanswered call is treated as no connection and the fee is returned.
8.2 Unused reserve
Reserve funds you have added and not used are refundable for sixty (60) days from the date they were added. After sixty days, unused funds remain available for use but are no longer refundable.
Refunds are made to the original payment method.
8.3 Subscriptions
Subscription charges are not refundable for periods already begun. You may cancel at any time; cancellation takes effect at the end of the current period and the service continues until then.
8.4 Outcomes
We do not refund missions on the basis of their outcome. A mission in which the other party declined, refused, or did not agree has been performed. See Section 6.
8.5 Errors
If we charge you in error, tell us at billing@envoy.pro and we will correct it.
9. Private Envoy — Numbers and Lines
9.1 Your number
A telephone number is obtained for you when your line is turned on. Numbers are provided through our telecommunications provider and remain subject to that provider's terms and to number assignment rules.
You do not own the number. You have the right to use it while your line is active.
9.2 Pausing
If you pause a line, billing stops and the number is held for ninety (90) days from the date you pause. If you resume within that period, you keep the same number. After it, the number is released and resuming means obtaining a new one. The release date is shown to you.
9.3 Failed payment
If a subscription payment fails, the line stops answering and the number is held for ninety (90) days from the date of failure. The release date is shown to you. If payment is not restored before that date, the number is released.
9.4 Cancellation
If you cancel, the line answers until the end of the period you have paid for, and the number is held for a further thirty (30) days. After that it is released.
9.5 Rotation
You may change your number at intervals shown in the service. When a number is changed, the old number stops working immediately and cannot be recovered — not by you and not by us. Released numbers enter a mandatory carrier holding period and may subsequently be assigned to another person. Anyone holding your old number will not reach you.
9.6 Released numbers
A released number is gone. We cannot retrieve it, and we are not responsible for calls, messages or consequences arising from a number being reassigned after release.
9.7 Email addresses
Email addresses attached to a line accumulate: adding one does not retire another. A retired address stops receiving mail but is never reassigned to another user. Mail already received is unaffected.
10. Your Responsibilities
You are responsible for the missions you approve. Envoy acts on your instruction and on your behalf. What it says is what you asked it to say.
By approving a mission, you represent and warrant that:
- you have the right to contact the recipient for the purpose stated, and that doing so does not violate any law, any prior request by that person not to be contacted, or any agreement you have with them;
- the facts you have provided are accurate and you are entitled to state them;
- you are not using Envoy to harass, threaten, deceive, defraud or intimidate anyone;
- the mission does not require Envoy to impersonate you, any other person, or any organisation you are not entitled to represent;
- you have any consents required for us to contact the recipient at the number or address you provided; and
- the mission is lawful in your jurisdiction and in the recipient's.
You are responsible for the consequences of missions you approve, including any commitment Envoy makes within limits you set.
11. Acceptable Use
You may not use Envoy to:
- contact anyone who has asked not to be contacted;
- conduct telemarketing, cold sales outreach, political campaigning, fundraising, or bulk unsolicited contact of any kind;
- harass, stalk, threaten, defame or intimidate any person;
- impersonate any person or organisation, or misrepresent your affiliation with one;
- obtain, or attempt to obtain, another person's account access, credentials, financial information or personal data;
- interfere with emergency services, or contact emergency numbers;
- circumvent, disable or interfere with the protections described in Section 5;
- evade an opt-out request by using a different account, number or address;
- violate any law, including without limitation the Telephone Consumer Protection Act, Canada's Anti-Spam Legislation, the CAN-SPAM Act, and applicable state, provincial and federal telemarketing and privacy laws;
- resell, sublicense or make Envoy available to third parties except as we expressly permit; or
- attempt to extract, reverse engineer or replicate the models, prompts or systems that operate the service.
We may refuse, cancel or terminate any mission or account we believe violates these Terms, without notice and without refund of amounts attributable to the violation.
12. Your Content and the Vault
Your content. You retain ownership of what you provide — your drafts, instructions, facts, contacts, files and preferences. You grant us a licence to use it solely to operate the service for you: to compose missions, carry them out, report results, and maintain your account.
The Vault. You may store information for Envoy to use in future missions. Stored values are encrypted and are used only when a mission requires them.
What the Vault will not accept. Envoy refuses, and will not store:
- passwords or login credentials of any kind;
- full payment card numbers, CVV codes or expiry dates;
- full Social Security or Social Insurance numbers;
- government identification numbers;
- bank account or routing numbers;
- one-time authentication codes.
Envoy only calls and sends email. It does not sign in to accounts, make payments, or move money — so it has no use for these, and refusing them is safer than holding them.
Used once, not stored. Some information a company demands to verify you — a partial Social Security number, a date of birth — may be used on a single mission and is discarded when that mission ends. It does not enter the Vault.
Accuracy. We are not responsible for missions carried out on the basis of inaccurate information you provided.
13. Communications From Us
Envoy sends: one-time sign-in codes, payment receipts, mission results, and service notices. These are part of the service and cannot be unsubscribed from while your account is active.
Marketing email, if any, is separate and you may opt out of it at any time.
14. Third-Party Services
Envoy depends on third parties, including telecommunications carriers, payment processors, artificial intelligence providers, and cloud infrastructure providers.
Their availability affects ours. We are not responsible for failures, delays, outages or errors caused by third-party services, including a carrier failing to connect a call, a payment processor declining a card, or a model provider being unavailable.
Your use of Envoy is also subject to the terms of the payment processor for transactions you make.
15. Availability
We aim to keep Envoy available but do not guarantee uninterrupted service. We may suspend the service for maintenance, security, or to comply with law.
Do not rely on Envoy for anything urgent, time-critical or safety-related. It is not an emergency service and must not be used to contact emergency numbers.
16. Intellectual Property
Envoy, including the software, models, prompts, designs, text and the Envoy name and marks, is owned by Aegis Nova and protected by intellectual property law. These Terms grant you a limited, revocable, non-exclusive, non-transferable licence to use the service, and nothing more.
You may not copy, modify, distribute, sell, lease or create derivative works from any part of the service.
17. Disclaimers
ENVOY IS PROVIDED "AS IS" AND "AS AVAILABLE". To the maximum extent permitted by law, we disclaim all warranties, express, implied or statutory, including merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or usage of trade.
We do not warrant that:
- any mission will achieve any particular outcome;
- Envoy will interpret your instructions as you intended;
- any statement Envoy makes on a call or in an email will be accurate, complete or effective;
- the service will be uninterrupted, timely, secure or error-free;
- any recipient will respond, cooperate, or behave in any particular way; or
- information Envoy reports back to you is accurate — it reports what it was told, and what it was told may be wrong.
Artificial intelligence is imperfect. Envoy may misunderstand an instruction, state something imprecisely, fail to obtain information, or produce an unexpected result. You accept this risk.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AEGIS NOVA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, or for lost profits, lost revenue, lost data, loss of goodwill, or business interruption, arising out of or relating to your use of Envoy, whether based in contract, tort, negligence, strict liability or otherwise, and whether or not we have been advised of the possibility of such damages.
OUR TOTAL LIABILITY arising out of or relating to these Terms or the service will not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred United States dollars (US$100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. Where that is the case, the above applies to the fullest extent permitted, and our liability is limited to the minimum extent permitted by law.
Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, or any liability that cannot lawfully be limited.
19. Indemnification
You will indemnify, defend and hold harmless Aegis Nova, its officers, directors, employees and agents from any claim, demand, loss, liability, damage, cost or expense (including reasonable legal fees) arising out of or relating to:
- a mission you approved, including anything Envoy said or did in carrying it out;
- your breach of these Terms, including Sections 10 and 11;
- any claim by a recipient arising from being contacted on your behalf, including claims under the Telephone Consumer Protection Act, Canada's Anti-Spam Legislation, or any telemarketing, privacy or anti-harassment law;
- any information you provided that was inaccurate, or that you were not entitled to provide or to have stated; or
- your violation of the rights of any third party.
20. Suspension and Termination
By you. You may stop using Envoy at any time and delete your account from your settings. Cancelling a subscription takes effect at the end of the current period.
By us. We may suspend or terminate your account, with or without notice, if you breach these Terms, if we are required to by law, if your payment method fails, or if we believe your use presents a risk to us, to recipients, or to the service.
On termination: access ends; missions in progress may be cancelled; unused reserve is refundable only if within the sixty-day window described in Section 8.2; and Sections 6, 10, 12, 16, 17, 18, 19, 21 and 22 survive.
21. Disputes and Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Informal resolution first. Before filing any claim, you agree to contact us at legal@envoy.pro and attempt to resolve the dispute informally for at least thirty (30) days.
Arbitration. Any dispute arising out of or relating to these Terms or the service that is not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, in the State of Delaware or, at your election, in the county where you reside, or by telephone or video where the rules permit.
No class actions. YOU AND AEGIS NOVA AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE OR REPRESENTATIVE PROCEEDING.
Exceptions. Either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court to protect intellectual property rights.
Opt-out. You may opt out of arbitration by writing to legal@envoy.pro within thirty (30) days of first accepting these Terms, stating your name and that you decline arbitration. Opting out does not affect any other part of these Terms.
Canadian residents. Nothing in this Section limits any right you have under the consumer protection legislation of your province, including any right to bring a claim before a court or tribunal where that right cannot be waived. Residents of Quebec may bring proceedings in Quebec, and Quebec law applies to the extent it cannot be displaced.
22. General
Governing law. These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law rules, except where the mandatory law of your state or province applies.
Changes. We may change these Terms. Material changes will be notified by email or in the service at least thirty (30) days before they take effect, except where a change is required immediately by law. Continuing to use Envoy after a change takes effect means you accept it.
Severability. If any provision is held unenforceable, the rest remains in effect.
No waiver. Failing to enforce a provision is not a waiver of it.
Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition or sale of assets.
Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding Envoy.
Force majeure. Neither party is liable for failure to perform caused by events beyond reasonable control.
